How We Determine Organization Size

Our licenses cover your entire corporate family. Here's how we determine what that means for pricing.

One License, One Corporate Family

A single subscription covers the licensee, all of its subsidiaries, and all of their employees. Unlimited servers, domains, projects, and users. No per-seat or per-server fees.

The Site-wide Subscription License defines "Legal Entity" as the subscribing entity plus all entities under common control — meaning 50% or greater ownership or beneficial ownership. The license scope and the pricing scope are the same thing: we count across your entire ownership structure because the license covers that entire structure.

SaaS usage is included with the All Products Pack. Agency redistribution to qualifying clients is also permitted. More on both below.

How License Coverage Maps to Pricing

The boundary is the same for coverage and counting. Every entity inside the license scope is also inside the pricing scope.

How to Count: Three Steps

  1. Start with the entity using the software.
  2. Walk up the ownership chain to the ultimate parent (50%+ ownership or common control).
  3. Count all employees and full-time contractors across that entire corporate family.

For the micro tier (fewer than 5 employees), combined gross revenue must also be under $1M USD.

Example: Small Independent Company

When there's no parent company, counting is straightforward.

Example: Subsidiary of a Large Corporation

This is the scenario that trips people up. A subsidiary with 400 employees might expect medium-tier pricing. But the license covers the entire corporate family — and so does the count.

Agencies and Bespoke Software

If you're a development agency building custom sites for clients, pricing is based on your agency's own size.

The site-wide license permits redistribution to clients as part of bespoke (custom-built) software, provided the client qualifies for the same pricing discount tier. If a client stops using your agency's services, they need their own license, sized to their company.

SaaS and Redistribution

SaaS usage is included with the All Products Pack at no extra charge. No per-user or per-image fees. You can deploy Imageflow as part of your SaaS product under your existing subscription.

OEM redistribution (packaging our software inside a turnkey product for resale) requires a separate Redistribution Agreement add-on.

What Counts as an Employee

  • Full-time employees across all subsidiaries of the Legal Entity.
  • Independent contractors under active engagement (per the license definition).
  • Combined headcount across the entire corporate family, not just the subsidiary using the software.

Verification

In most cases, a statement from a company representative suffices. The statement must disclose:

  • All parent companies and their subsidiaries.
  • Total number of employees and contractors (rounding up is fine).

Revenue documentation may be required for the micro tier. If there's a conflict between public information and your statement, documentation is needed to resolve it.

Subscription Terms — Section 5.3 (Fraudulent Reporting)

Subscribers agree to retroactive billing for the full amount due based on actual company size, plus a 50% penalty on underpaid amounts if eligibility is misrepresented.
